1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the software tools, integrations, and automated services ("Tools") provided by Vista Vitals LLC ("Vista Vitals," "we," "our," or "us") in connection with our accounting and financial advisory services. By authorizing Vista Vitals to access your financial platforms or by using our Tools, you agree to be bound by these Terms.
2. Description of Services
Vista Vitals provides fractional accounting and financial advisory services to small and mid-sized businesses. Our Tools include automated integrations with third-party platforms such as QuickBooks Online, Fathom HQ, Gusto, Bill.com, and others. These Tools are used to facilitate bookkeeping, financial reporting, monthly close procedures, quality control checks, and analytical services as described in your engagement agreement.
3. Authorization and Access
By connecting your accounts to our Tools, you authorize Vista Vitals to:
- Access, read, and retrieve financial data from your connected platforms via their respective APIs.
- Generate reports, perform calculations, and produce analytical outputs based on your data.
- Store API tokens and connection credentials necessary to maintain authorized access.
You may revoke this authorization at any time by disconnecting your accounts from our Tools or by notifying us in writing. Revocation may affect our ability to provide certain services.
4. Your Responsibilities
You are responsible for:
- Ensuring that you have the authority to grant Vista Vitals access to the connected platforms and data.
- Providing accurate and complete information necessary for us to perform our services.
- Reviewing the outputs, reports, and recommendations produced by our Tools and making your own independent business decisions based on them.
- Maintaining the security of your own account credentials and notifying us promptly of any unauthorized access.
5. Data Ownership
Your financial data remains your property at all times. Vista Vitals does not claim ownership of any data accessed, processed, or generated through our Tools on your behalf. We retain a license to use your data solely for the purpose of providing our contracted services.
6. Accuracy and Limitations
While we strive for accuracy in all our services, automated Tools may produce errors due to data quality issues, platform limitations, or other factors. Our Tools are designed to assist and augment — not replace — professional accounting judgment. All outputs should be reviewed by a qualified professional before being relied upon for business decisions, tax filings, or regulatory compliance.
Vista Vitals is not a CPA firm and does not provide audit, attest, or tax preparation services unless explicitly stated in your engagement agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Vista Vitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use our Tools.
- Any errors, inaccuracies, or omissions in the outputs produced by our Tools.
- Unauthorized access to or alteration of your data.
- Any third-party platform outages, API changes, or data integrity issues beyond our control.
Our total liability for any claim arising from or related to these Terms shall not exceed the total fees paid by you to Vista Vitals in the twelve (12) months preceding the claim.
8. Confidentiality
We treat all client financial data as confidential. We will not disclose your information to third parties except as described in our Privacy Policy, as required by law, or with your express written consent.
9. Term and Termination
These Terms are effective as long as you use our Tools or maintain an active engagement with Vista Vitals. Either party may terminate the use of Tools at any time. Upon termination, we will cease accessing your connected platforms and securely delete stored credentials within 30 days.
10. Changes to Terms
We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Tools after such changes constitutes acceptance of the modified Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.
